Terms and conditions Dutchesse Webdesign

Article 1. Definitions
1. Client: client of Dutchesse Webdesign.
Arrangement: the arrangement between the client and Dutchesse
Webdesign.
Articel 2. Relevancy
1. These terms and conditions are applicable on all offers
and all arrangements en services of the by Dutchesse Webdesign
performed activities.
2. By putting your signature on the Terms and Conditions form
you declare you received and agree with the terms and conditions.
3. Relevance of other terms and conditions of the client will
be rejected.
Article 3. Offers
1. Offers made by Dutchesse Webdesign are non committal; they
will be valid during 30 days unless declared differently.
2. Modifications in the origional agreement between Dutchesse
Webdesign and client will be only valid after full acceptance
between client and Dutchesse Webdesign.
3. Offers are not concerned to be valid automatically for
future offers.
Article 4. Pricing and payments
1. All prices are exclusive tax (VAT) and other charges inflicted
by the government.
4. Down payment of 25% of the total costs after acceptance
of the offer and first webdesign. The website will be stored
at a temporary place at the internet.
You can follow the process on your own computer. When the
website is ready and approved by you an invoice will be sent
with the remainder of the sum.
Your website will be placed at
its final location after the som is received.
4. Payment of hosting and domain name should be done by prepayment.
5. After payment of the total amount, the website will be
considered as finished and further changes will be charged.
7. Payment of the invoice has to be done within 14 days.
Objections against the invoice will not release you from payment.
8. All costs, concerning the invoice, also the banking costs,
are for the clients.
9. In case of non payment in time, extra costs will be charged.
Article 5. Maintenance contracts for the website
1.These conditions are valid for one year and for an existing
website.
2. Maintenance of a website will consist of gathering and
work up data which is obtained by the client or third parties.
3. Maintenance of all links on the website once a month.
4. Adding new texts on existing web pages. Providing that
modifications are given within 2 weeks, calculated from the
first presentation. In all other cases costs will be charged
to the client.
5. Remained hours can move up to the next month, remained
hours can not be moved up to the next year. No restitution
of remained
hours. Every supplementary hour will be charged.
6. To add a new page a charge of $60 per page with a max of
2 pictures will be made.
7. Two times a year the website will be applied to search
engines.
8. Maintenance of contacts with the hosting company if applicable.
9. Costs of a maintenance contract are valid for one year
and have to be paid within 14 days after signing the contract.
10. Subject of three months notice before the end of the contract
date.
Article 6. Obligations of the client.
1. Client to provide data in time.
2. Placement of a text link to Dutchesse Webdesign at the clients’ webpage.
3. Dutchesse Webdesign may use the website for promotion and
publicity unless agreed differently.
Article 7. Performance of the agreement
1. Dutchesse Webdesign will make an effort to provide the website
with care and attention as written in the agreement.
2. Dutchesse Webdesign will not be responsible for damage,
by wrong data provided by the client.
5. Dutchesse Webdesign will produce the website within the
agreed time. Unless client cannot provide the data in time.
Client will be invoiced within the stipulated time.
6. Client safegueards Dutchesse Webdesign for all claims of
third parties which are imputable by the client
Article 8. Modificatins and extra work
1. All modifications and extra work on the website will be
charged according to Dutchesse Webdesign rates.
2. Dutchesse Webdesign will inform client in advance about
modification and extra work rates.
3. After approval of the offer and first design, it will not
be possible to modificate the design without costs.
Article 9. Expiration
1. Contracts regarding domain name registration and hosting
have a term of notice of 3 months. The contracts will be
prolonged silently each year unless denounced.
2. Maintenance contracts have term of validity of minimal
one year and will be prolonged silently with one year with
a term of notice of 3 months by letter.
3. Dutchesse Webdesign can terminate the agreement with the
client in case of non commitment by the client.
4. Dutchesse Webdesign has the right to put products or services
out of use or restrict them in case client does not follow
the terms and conditions of Dutchesse Webdesign. The obligation
to payment will remain.
Article 10. Copyright
1. All provided data and products will be returned to the client.
2. All promotion materials developed or designed by Dutchesse
Webdesign can be used for own promotion unless agreed differently
with the client.
3. On all materials designed by Dutchesse Webdesign resides
copyright.
Article 12. Liability and protection
1. Dutchesse Webdesign and third parties working on the website
can not be hold responsible for any damage unless Dutchesse
Webdesign is to blame.
Article 13. Superiour numbers
1. In case of superior numbers Dutchesse Webdesign is authorized
to dissolve the agreement.
2. Dutchesse Webdesign is not responsible for events happening
at a hosting provider, domain name registrant or by other third
parties.
Article 14. Varied stipulations
1. On all our offers and agreements Dutch law is applicable.
2. Dutchesse Webdesign can change the terms and conditions
any time without notification. In case client cannot accept
the modifications, client can end the agreement. Client has
to pay for already supplied services.
3. Dutchesse Webdesign has the right to temporally close
down her services due to maintenance.
Article 15. Third parties
1. Dutchesse Webdesign is not responsible for price modifications
from hosting providers or other third parties. These prices
will be charged without notification.
2. Dutchesse Webdesign is not responsible for any damage due
to the registration with personal information at a hosting
provider or domain name.
Article 16. Ownership
1. Client is and remains the owner of all passwords and other
documents concerning the website domain name and hosting.
This information will not be provided to third parties unless
written permission of the client.
2. The website made by Dutchesse Webdesign will be owned by
the client after payment.
3. Developed scripts and programs used by Dutchesse Webdesign
for making the website will remain of Dutchesse Webdesign.
Article 17. Privacy
1. Clients personal information will never be given to third
parties unless written permission by the client.
2. Clients personal information, provided documents and images
will remain confidential.
